Definition of 'Schedule 13G'

A Schedule 13G is a form that must be filed with the Securities and Exchange Commission (SEC) by any person or group of persons who acquire beneficial ownership of more than 5% of a class of equity securities of a domestic issuer that is not registered under the Securities Act of 1933. The form must be filed within 10 days of the acquisition.
